Exeura is an Italian Limited Liability Company with registered office and principal place of business in Via Pedro Alvares Cabrai - C.da Lecco - 87036 Rende (CS), Italy.

Terms and conditions of service

A. Agreement between User and Exeura

Exeura Web Site and its associated services is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of Exeura Web Site and its associated services constitutes your agreement to all such terms, conditions, and notices.

You agree to familiarise yourself with the Terms of Use and other terms and guidelines found throughout Exeura Web Site and abide by them if you choose to use the sites, pages or services to which they apply.

B. Modification of these Terms of Use

Exeura reserves the right to change the terms, conditions, and notices under which Exeura Web Site and services are offered. You are responsible for regularly reviewing these terms and conditions. Continued use of Exeura Web Site or services after any such changes shall constitute your consent to such changes.

C. Use Limitation

Exeura Web Site and services are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, Software, products or services obtained from through Exeura Web Site and service. Signing a proper agreement with Exeura is a necessary condition for the Web Site and/or its services exploitation.

Exeura Web Site may contain links to other Web sites ("Linked Sites"). The Linked Sites are not under the control of Exeura and Exeura is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Exeura is not responsible for webcasting or any other form of transmission received from any Linked Site. Exeura is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Exeura of the site or any association with its operators.

E. No Unlawful or Prohibited Use

As a condition of your use of Exeura Web Site and service, you warrant to Exeura that you will not use Exeura Web Site or service for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use Exeura Web Site or its associated service in any manner which could damage, disable, overburden, or impair Exeura Web Site or interfere with any other party's use and enjoyment of Exeura Web Site or its associated services.   • falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of Software or other material contained in a file that is uploaded;
  • restrict or inhibit any other user from using and enjoying the Communication Services;
  • violate any code of conduct or other guidelines which may be applicable for any particular Communication Service;

  • violate any applicable laws or regulations.

Exeura reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Exeura reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Exeura has no obligation to monitor the Communication Services. However, Exeura reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Exeura sole discretion.

You acknowledge that all Communication Services are public and not private communications, therefore your communications may be read by others without your knowledge. Always use caution when giving out any personally identifying information about yourself or your firm in any Communication Service. Exeura does not control or endorse the content, messages or information found in any Communication Service and, therefore, Exeura specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Legal Notes managers and hosts are not authorised Exeura spokespersons, and their views do not necessarily reflect those of Exeura.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination, you are responsible for adhering to such limitations if you download the materials.

G. Software available on Exeura Web Site

Software (if any) that is made available to download from Exeura Web Site, excluding Software that may be made available by end-users through a Communication Service, ("Software") is the copyrighted work of Exeura and/or its suppliers. Your use of the Software is governed by the terms of the license agreement, if any, which accompanies or is included with the Software ("License Agreement"). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms. For any Software not accompanied by a license agreement, Exeura hereby grants to you, the user, a personal, non-transferable license to use the Software for viewing and otherwise using Exeura Web Site and service in accordance with these Terms of Use, and for no other purpose provided that you keep intact all copyright and other proprietary notices. All Software is owned by Exeura and/or its suppliers and is protected by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT.

You acknowledge that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of the EU.

H. No Warranties

The Content of Exeura Web Site free services is only for your general information and use and is not intended to address your particular requirements. In particular, the Content does not constitute any form of advice, recommendation or arrangement by Exeura and is not intended to be relied upon by users in making (or refraining from making) any specific decision of any nature (including financial and legal). IN PARTICULAR, THE SITE SERVICES ARE PROVIDED ON AN "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE" BASIS. TO THE EXTENT ALLOWED BY APPLICABLE LAW, EXEURA HERBY DISCLAIMS ALL WARRANTIES, CONDITIONS OR DUTIES OF EVERY NATURE WHATSOEVER (EXCEPT ANY DUTIES OF GOOD FAITH), INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABLILITY OR OF FITNESS FOR A PARTICULAR PURPOSE, ANY EXPRESS OR STATUTORY WARRANTIES, AND ANY WARRANTIES OR DUTIES REGARDING ACCURACY, TIMELINESS, COMPLETENESS, PERFORMANCE, LACK OR NEGLIGENCE OR OF WORKMANLIKE EFFORT.

ADDITIONALLY, EXEURA DOES NOT PROVIDE ANY WARRANTY AGAINST INFRINGEMENT OR OF TITLE OR QUIET ENJOYMENT AND MAKES NO EXPRESS WARRANTIES.

I. Advertising and Sponsorship

Part of Exeura Site may contain advertising and sponsorship. Advertisers and Sponsors are responsible for ensuring that material submitted for inclusion on Exeura Site complies with international and national law. Exeura will not be responsible for any error or inaccuracy in the advertising material.

L. Termination/Access Restriction

Exeura reserves the right, in its sole discretion, to terminate your access to Exeura Web Site and the related services or any portion thereof at any time, without notice.

M. General

This agreement is governed by the EU Directives and Rules. You hereby consent to the exclusive jurisdiction and venue of courts in Rome, Italy, in all disputes arising out of or relating to the use of Exeura Web Site or service. Use of Exeura Web Site and service is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Exeura as a result of this agreement or use of Exeura Web Site or service. Exeura may assign this agreement, in whole or in part, at any time. Exeura performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Exeura right to comply with EU, governmental, court and law enforcement requests or requirements relating to your use of Exeura Web Site or service or information provided to or gathered by Exeura with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
